India’s Fraud Office Recommends Investigation into Xiaomi’s Local Business
India’s Serious Fraud Investigation Office (SFIO) has recommended a detailed investigation into Xiaomi’s business operations within the country, as per an internal document reviewed by Reuters. The document, drafted in May, examines money flows through Xiaomi’s Indian entities and adherence to investment approval requirements, among other aspects.
The SFIO’s recommendation does not imply that Xiaomi has engaged in any wrongdoing, and no official investigation has been announced.
Key Areas of Investigation:
- Money Movement: Examining the flow of funds within Xiaomi’s Indian entities.
- Investment Approvals: Whether Xiaomi obtained necessary approvals for investments from countries sharing a land border with India, particularly China, after regulatory changes in April 2020.
- Beneficial Ownership: The beneficial ownership of foreign investors and group companies associated with Xiaomi in India.
- FDI Compliance: Adherence to broader Indian Foreign Direct Investment (FDI) rules, including whether Xiaomi exercised de facto control over Indian sellers on e-commerce platforms despite presenting those relationships as independent, similar to controversies involving Amazon and Flipkart.
Background:
- This isn’t Xiaomi’s first regulatory dispute in India. In April 2022, the Enforcement Directorate seized ₹5,551 crore (about $676 million at the time) from Xiaomi’s Indian bank accounts under foreign exchange laws, alleging illegal transfers abroad. Xiaomi challenged the action, arguing that most of the funds were royalty payments to Qualcomm for chip licensing.
- The frozen amount remains four years later, significantly impacting Xiaomi’s ability to access capital and maintain its market position in India, which has declined since its peak in 2017.
