Perion Acquires PRN for Up to $12 Million, Expanding In-Store Retail Media Reach Across North America

Perion (NASDAQ: PERI) has acquired PRN, an in-store retail media company, for up to $12 million in cash. The deal adds exclusive in-store advertising inventory across 750+ warehouse club locations, 4,500+ big-box stores, and 2,200+ healthcare retailer locations. PRN will operate as Perion Retail Networks and is expected to contribute ~$3 million in adjusted EBITDA in 2027 before synergies. Physical retail accounts for 80%+ of U.S. retail commerce.

Closing the Gap Between Digital and In-Store Experiences

For years, advertisers have sought to connect digital campaigns with in-store experiences. Perion’s latest acquisition aims to bridge this gap, extending its advertising infrastructure from connected TV and digital out-of-home into the point of purchase.

From Digital Intent to Point-of-Purchase Decisions

The strategic rationale behind the acquisition focuses on the crucial link between advertising impressions and purchase decisions. Consumers may encounter a campaign on connected TV, social media, or outdoor screens, but the final decision often occurs inside a store while comparing products on the shelf.

Perion plans to combine its programmatic digital out-of-home footprint with PRN’s in-store network, enabling brands to reach shoppers across the “full last mile,” from the commute to the shelf.

A Broader Retail Media Opportunity

The acquisition expands Perion’s footprint in three key advertising verticals: commerce, consumer packaged goods, and healthcare. Going forward, Perion aims to integrate in-store media into its existing digital advertising capabilities, offering advertisers a unified approach to planning and executing campaigns.

Kevin Carbone, CEO of PRN, noted, "Marketers want to plan in-store advertising the way they plan every other channel. Perion brings the demand and the execution to make that possible, while retailers keep the same control over what runs in their stores."

Over time, Perion anticipates applying programmatic execution to in-store retail media while adhering to individual retailers’ rules regarding content, frequency, and the in-store experience.
